01Your agreement with NavCoach

These Terms of Use ("Terms") govern your use of the NavCoach iPhone app, related cloud services, and website. NavCoach is operated by Yu Zhang ("NavCoach," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

Our Privacy Policy explains how personal information is processed. Use of the iPhone app is also governed by Apple's Standard End User License Agreement. These Terms address the NavCoach service and do not replace that app license or reduce rights that applicable law gives you.

02What the service provides

NavCoach provides AI-assisted preparation and support for virtual meetings. Features can include typed preparation, Voice Prep or Ramble, real-time LIVE suggestions, and post-meeting transcripts, summaries, and document exports.

The service requires a compatible device and, for cloud features, a working internet connection. Features may depend on the version of the app, your location, your permissions, and your available allowance or subscription. Your plan and the purchase screen describe the features included in an offer.

NavCoach is a communication aid. It does not make decisions or speak on your behalf, and it does not guarantee a particular meeting, employment, promotion, or business outcome.

03Eligibility and your account

You must be at least 18 years old and legally able to agree to these Terms. You must provide accurate account information, protect access to your device and sign-in account, and tell us promptly if you believe your account has been used without permission.

Use only accounts and content you are authorized to use. You are responsible for activity you authorize through your account. If you use NavCoach for work, make sure your use follows your employer's and clients' policies, confidentiality obligations, and any required approvals.

04Permission to use NavCoach in a meeting

Before capturing, streaming, transcribing, or processing a conversation with NavCoach, you must notify the participants and obtain any consent or other authorization required for that use. Requirements can depend on where participants are located, the nature of the conversation, and the policies of your employer, client, or meeting platform.

Your permission to use an iPhone microphone does not establish another person's consent to recording or AI processing. The app's participant-awareness confirmation does not obtain or verify that consent for you. Do not use NavCoach to secretly capture a conversation where notice or consent is required.

Stop capture if you lack the necessary permission or if a participant withdraws consent where that withdrawal must be honored. Only provide confidential, personal, or third-party information when you have the right to share it with the cloud providers described in the Privacy Policy.

05Your content and AI-generated results

Your content

You retain the rights you hold in the content you provide. You give NavCoach and its service providers permission to process, transmit, store, and reproduce that content as reasonably necessary to deliver, maintain, and secure the service, comply with law, and carry out your instructions. This permission does not give us the right to publish your private meeting content.

You are responsible for having the necessary rights and permissions to provide content. Any optional use of meeting content for research or product improvement will be subject to a separate explanation and opt-in as described in our Privacy Policy.

Use your judgment

AI suggestions, transcripts, speaker labels, and summaries can be inaccurate, incomplete, delayed, or unsuitable for the situation. Review them before relying on them, quoting them, sharing them, or making a decision. AI output may be similar to output generated for other people and may not be eligible for exclusive intellectual-property rights.

You decide whether and how to use a suggestion. NavCoach does not provide legal, medical, financial, or other licensed professional advice, and it is not an emergency service. Generated meeting records are an aid to your review, not a guaranteed verbatim or official record.

06Welcome allowance and monthly plan

LIVE minutes measure the time you use active LIVE Support, including listening time between suggestions. Minutes are not measured by the number of suggestions displayed. The app shows your available allowance.

The welcome period starts when LIVE Support first becomes usable, not when you install the app or create an account. Reinstalling the app or signing back into the same account does not reset or replenish the welcome allowance.

LIVE Support stops when your available allowance is exhausted or expires. Continued LIVE use requires an available, valid allowance. Allowances have no cash value and cannot be transferred or redeemed for money. Any additional promotional terms will be shown with the offer before you accept it.

07Apple billing, renewal, and cancellation

Price and payment

The subscription price, currency, billing period, and included benefits are shown before you confirm an App Store purchase. Apple processes payment through your Apple Account, including any applicable taxes, under its purchase terms.

Automatic renewal

A paid monthly subscription renews automatically unless canceled through Apple. Apple may charge for renewal during the 24 hours before a new period starts; cancel at least 24 hours before the current period ends to avoid the next renewal charge. Price changes are subject to Apple's notice and consent requirements and applicable law.

Manage or cancel

You can manage your subscription through Apple, or on your iPhone open Settings, tap your name, then Subscriptions and NavCoach. See Apple's cancellation instructions if you need help.

Cancellation normally stops the next renewal. You can continue using the remaining benefits of the current paid period while that period and your entitlement remain valid, subject to your remaining LIVE minutes. Canceling does not refill minutes or turn unused minutes into a refund.

Refunds and changes to access

For an App Store purchase, use Apple's refund request process. Eligibility depends on Apple's rules and applicable law; nothing in these Terms limits a refund or other remedy you are legally entitled to receive.

A refund, revocation, expired subscription, or failed renewal can change or end paid access. An affected LIVE session may end when its entitlement is no longer valid. A refund does not create a new welcome allowance or reinstate one that has already been used or expired. Any other valid access you hold remains governed by its own terms.

Restoring purchases

Use the app's purchase-restoration option where available, and sign in with the Apple Account used for the purchase and the NavCoach account associated with it. Restoration verifies eligible purchases; it does not duplicate previously used allowances. Contact support@mynavcoach.com if your verified purchase is not reflected correctly.

08Responsible use

You may use NavCoach only for lawful purposes and in accordance with these Terms. You must not:

• Capture or process conversations or personal information without the rights, notice, or permission required for that use.
• Use the service to harass, threaten, defraud, impersonate, or violate another person's rights.
• Attempt to access another person's account, meeting records, or restricted parts of the service.
• Bypass usage limits, payment verification, security controls, or eligibility rules, or manipulate transaction or usage information.
• Introduce malicious code, disrupt the service, or use unauthorized automation that imposes unreasonable load.
• Copy, resell, or reverse-engineer protected parts of the service except where applicable law expressly permits it.

NavCoach's software, branding, and service materials remain the property of NavCoach or its licensors, apart from your content and rights that applicable law gives you.

09Availability, suspension, and ending use

Service interruptions can occur because of maintenance, connectivity, device limitations, or third-party service problems. We may update the service to improve it or address security, legal, or operational needs. We will provide notice of material changes to paid benefits when required and honor applicable subscription and consumer obligations.

We may restrict or suspend access when reasonably necessary to address misuse, a security threat, invalid payment entitlement, a material breach of these Terms, or a legal requirement. Where practical and lawful, we will explain the reason and give you a way to contact us about it. Any suspension or termination remains subject to your rights under applicable law.

You can stop using NavCoach at any time. To stop future Apple subscription charges, cancel through Apple. To remove your account and meeting records, use account deletion in the app.

10Privacy and account deletion

Use the account deletion option in the app's Profile & settings screen to request permanent deletion. Meeting records and associated stored exports are handled as described in the Privacy Policy. Keep any permitted copies you need before deleting; deleted records may not be recoverable.

Limited transaction, refund, security, or legally required records may remain as explained in the Privacy Policy. Deletion does not remove copies you or other people have saved outside NavCoach.

11Service limitations and your legal rights

To the extent permitted by applicable law, NavCoach is provided on an "as is" and "as available" basis. We do not promise that the service will always be uninterrupted or error-free, or that generated information will be accurate, complete, or suitable for a particular purpose.

To the extent permitted by law, NavCoach is not liable for indirect or consequential losses, such as lost profits or lost business opportunities, arising from use of the service or reliance on AI-generated suggestions. This does not exclude or limit liability that cannot legally be excluded or limited, including liability for fraud, willful misconduct, gross negligence, or other protected rights where applicable.

Mandatory consumer protections continue to apply. Nothing in these Terms removes a statutory warranty, refund entitlement, remedy, or right to bring a claim that applicable law protects. The iPhone app's license remains subject to Apple's Standard End User License Agreement.

If there is a problem, contact support@mynavcoach.com so we can try to resolve it. Contacting us does not prevent you from using any remedy available under applicable law.

12Changes to these Terms

We may update these Terms as the service or legal requirements change. We will publish the revised Terms with a new date and provide reasonable advance notice of material changes when required, except where an immediate change is necessary for legal or security reasons. Where required, we will ask you to accept the change.

Changes will not remove rights that have already arisen under applicable law. If you do not agree to updated Terms, stop using the affected service and cancel any future subscription renewal through Apple. Provisions that reasonably need to continue after use ends, including accrued payment obligations, content rights, and applicable liability provisions, continue to apply. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law.
